Vaelen Distributor Dossier: Confidentiality Terms

The dossier contains commercially sensitive material, so we ask every recipient to accept these short terms. They are a standard commercial courtesy: they protect both sides and do not restrict your normal business. By ticking the confidentiality box on the request form, you agree to them on your own behalf and on behalf of the organisation you represent.

1. What is confidential

The dossier and everything in it, including manufacturer credentials and registrations, product specifications and ingredient panels, provenance and traceability documentation, packaging and supply information, pricing, and any commercial terms discussed with you (together, the Confidential Information).

2. What you agree to

Use the Confidential Information only to evaluate a commercial relationship with Vaelen.
Not disclose it to anyone outside your organisation, except employees and professional advisers who need it for that evaluation and who are bound by confidentiality obligations at least as strict as these.
Not copy or distribute it beyond what that evaluation requires.
Not use it for any purpose other than that evaluation.
Delete or return it if we ask.

3. What is not confidential

Information that is publicly available through no fault of yours, that you lawfully held before receiving the dossier, that you independently developed without using the dossier, or that you are required to disclose by law or by a regulator (in which case you tell us first, where lawful to do so).

4. Term and general

These obligations run for two years from the date you receive the dossier. Nothing in these terms transfers any intellectual property or grants any licence, and no commercial relationship exists unless and until a separate written agreement is signed. These terms are governed by New Zealand law.
